Terms and Conditions

1. Eligibility

You must be at least 18 years old to use the Platform.

By using the Platform, you confirm that all information provided is accurate and truthful.

2. Intellectual Property, Authenticity, and Digital Signature

Sellers may only upload or sell original ideas or digital assets that they own or have full rights to. A sale includes the full package: source code, brand name, and any other related assets.

To ensure originality, the Platform utilizes an automated Code Fingerprinting system for all uploaded source code files. A unique digital fingerprint (SHA-256 hash) is generated from the content. Any upload that matches a pre-existing fingerprint will be rejected to prevent duplicate listings.

Upon a successful purchase, a digital ownership signature will be automatically inserted into the source code files before delivery to the buyer. This signature includes the transaction ID, buyer's name, and a timestamp as proof of license.

3. Seller's Terms

Sellers must select a selling mode when listing an item:

  • Exclusive Sale: The item is sold only once. After the sale, the listing is marked as 'SOLD' and removed from the public marketplace.
  • Non-Exclusive Sale: The seller can sell the same item to multiple buyers.

The seller affirms that all uploaded files are original and do not infringe on any intellectual property rights. The platform is not liable for IP disputes.

For exclusive sales, once the transaction is complete, the specified intellectual property rights are transferred to the buyer, as governed by the Digital Asset Transfer Agreement.

4. Buyer's Terms

Buyers purchase assets 'as is' and are responsible for conducting their own due diligence.

Upon purchase, buyers will receive an automatically generated Digital Asset Transfer Agreement, which includes a Non-Disclosure Agreement (NDA) and a License Agreement, as a digitally signed PDF document.

The buyer acknowledges that purchased source code files will contain a digital ownership signature for tracking and proof-of-license purposes.

5. Idea Protection and Confidentiality

To protect intellectual property, a Non-Disclosure Agreement (NDA) and a License Agreement are automatically generated upon purchase. These documents are legally binding for both buyer and seller.

Sellers are advised not to disclose core trade secrets in public listing descriptions.

We are not liable for idea theft by users; however, we will act upon complaints and suspend violators.

6. Buying, Selling, and Sale Modes

Items can be listed as either an Exclusive Sale (sold once) or a Non-Exclusive Sale (sold multiple times).

The Platform takes a commission on each successful sale. Commission rates are clearly displayed before listing.

All transactions are final. After a successful exclusive sale, the listing is automatically archived.

7. Auction Rules

To be eligible for auction, projects must be launched and running for at least 12 months with a verifiable history of revenue, user base, and traffic. BidBrain reserves the right to verify these metrics.

To participate in an auction, bidders must pay a non-refundable entry fee of 1000 AED. Projects are advertised one week in advance, with pre-bidding available. All bids are binding.

A refundable security deposit of 25% of the intended maximum bid amount must be placed in the platform wallet. This deposit must be maintained to cover the value of any active bids.

Should a winning bidder withdraw from the purchase, the 25% security deposit will be forfeited. 5% of the forfeited amount will be transferred to the seller as compensation, with the remainder retained by the platform.

8. Content Moderation and Duplicate Checking

All uploaded content will be reviewed manually or using AI tools.

We reserve the right to reject or remove content that:

  • Violates intellectual property laws.
  • Fails the code fingerprint check (i.e., is a duplicate).
  • Contains harmful, violent, or discriminatory material.

Attempts to upload duplicate content will be recorded in our system logs.

9. User Conduct and Violations

Users must not:

  • Impersonate others
  • Post misleading or fake content
  • Attempt to hack, exploit, or disrupt the Platform
  • Fail to comply with purchase or sale agreements

We reserve the right to suspend or delete accounts that breach our policies. Any violation of these terms or failure to comply with agreements made through the platform may result in legal action. The platform is not responsible for mediating disputes but will cooperate with legal authorities as required.

10. Payments, Payouts, and Refunds

All payments are processed via trusted third-party gateways. We accept major credit/debit cards, Apple Pay, and Google Pay for a seamless checkout experience.

Refunds are handled case-by-case, based on product type and platform discretion.

Sellers must connect a valid payout account to list items. Payouts can be made to e-wallets, bank accounts, or cards, subject to the terms of our payment processor. Sellers are responsible for any transaction fees associated with their chosen payout method.

Users withdrawing funds may be subject to identity verification to comply with financial regulations and prevent fraud.

11. Limitation of Liability

We provide the platform “as is.”

We are not responsible for the success, usability, or legality of products sold, nor for enforcing revenue-sharing agreements between users.

Users are responsible for conducting their own due diligence and creating their own legal agreements for fractional ownership.

12. Modifications

We may update these terms at any time.

Continued use of the platform after updates means you accept the new terms.
